The Dutch BV in brief
Most international online sellers choose a BV (besloten vennootschap), the Dutch private limited company. These are the basics.
- Incorporation
- By a civil-law notary, through a notarial deed with articles of association
- Minimum share capital
- € 0.01
- Registration
- Chamber of Commerce (KVK) Business Register, plus the UBO register
- Business address
- A physical address in the Netherlands. A P.O. box is not accepted
- Customs
- An EORI number if your company imports goods from outside the EU
- Taxes
- Corporate income tax on profits, VAT (including OSS for EU consumer sales), dividend tax on distributions and payroll tax if you pay salaries
- Records
- Keep your business records for at least 7 years

Frequently asked questions
Can I set up a Dutch BV if I don't live in the Netherlands?
Yes. Non-residents can set up a BV in the Netherlands. The company needs a physical business address in the Netherlands, and you need to identify yourself at the notary. We coordinate the process with you.
Do I need to travel to the Netherlands?
Often not. Many notaries can identify you remotely or work with a power of attorney and certified documents. Some banks do ask for a visit when you open an account. We tell you in advance what applies in your case.
Which sales channels can you connect?
We work with Shopify, Amazon, Bol.com, WooCommerce, Lightspeed and payment providers such as Mollie, Stripe and PayPal. Selling through another channel? Ask us: there is usually a connection or a good way of working.
Can I sell on Bol.com with a Dutch BV?
Yes. Bol.com works with sellers based in the EU, so a Dutch BV gives you access. Bol.com sets its own seller requirements, for example on delivery times and customer service, so check them before you start. We help you with the company side.
What is OSS and do I need it?
If you sell to consumers in other EU countries above € 10,000 per year, you charge the VAT of your customer's country. Through the One Stop Shop (OSS) you report this in one return in the Netherlands instead of registering in every country. We keep track of the threshold and file the return.
What is IOSS?
The Import One Stop Shop (IOSS) is for goods you ship from outside the EU directly to EU consumers, in consignments of up to € 150. You charge VAT at checkout and report it in one monthly return. We check whether IOSS suits your supply chain.
Do I need an EORI number?
If your company imports goods from outside the EU, you need an EORI number for customs. We arrange it as part of the registrations.
What does it cost?
Company formation starts at € 1,495 excluding VAT, with a fixed quote in advance. E-commerce accounting starts at € 49 per month excluding VAT, and we set up the connections to your channels free of charge.
